Eversheds Sutherland advised E. Hofmann Plastics on the acquisition of PAP Packaging a.s.

E. Hofmann Plastics Group is an international manufacturer of food and industrial plastic containers and packaging with 25 years of experience in the Canadian market. The acquisition was part of an auction process held in connection with the liquidation of the seller, the Italian company MANFREPLAST S.R.L. IN LIQUIDAZIONE, represented by PwC as transaction advisors and by the law firm Urban & Hejduk. The company PAP Packing a.s. is based in Sušice and began producing paper packaging and cups in 1933. In connection with the liquidation of its Italian owner, PAP Packing a.s. also ran into financial problems.

Our advice included legal due diligence of the target company, negotiation of transaction documentation, advisory in connection with the signing and completion, and intensive communication with the financing banks. It also included support in changing the corporate governance system of the target company.
